中国化工集团公司持有ADAMA的60%股权其余股权则由以色列DiscountInvestmentCorp所持有。ADAMA为全球最大的农药制造商之一。ADAMA表示将会以3.24亿美元现金从中国化工收购江苏安邦、江苏麦道、江苏淮河、以及荆州沙隆达控股的所有股权(上述企业2013年营收合计约8.5亿美元)并承担3亿美元的债务。
据路透社消息以色列公司ADAMA周三表示已经签署一项协议收购多家中国企业因在该公司于纽约发行股票之前试图强化在中国的市场地位。
中国化工集团公司持有ADAMA的60%股权其余股权则由以色列DiscountInvestmentCorp所持有。ADAMA为全球最大的农药制造商之一。
ADAMA表示将会以3.24亿美元现金从中国化工收购江苏安邦、江苏麦道、江苏淮河、以及荆州沙隆达控股的所有股权(上述企业2013年营收合计约8.5亿美元)并承担3亿美元的债务。
ADAMA在纽约上市之后上述的交易料将在2015上半年结案。

以色列Discount投资公司近期已经同意将其持有的Adama剩余的40%股权出售给中国化工集团，售价为14亿美元。中国化工集团将全资控股Adama公司。Discount母公司为Nochi Dankner，2011年已经将Adama（当时公司名马克西姆-阿甘）60%的股权以24亿美元的价格出售给中国化工集团。此外，Adama上周日表示，该公司与沙隆达的合并将在2017年上半年完成。此项举措是为了加速Adama整合进入中国市场，并有机会再深圳证券交易所上市交易。Adama在一份声明中表示，与沙隆达合并后的公司总部将继续设在以色列，并保持以色列和全球业务的商业文化，以及确保以色列的业务增长。自去年8月Adama开始着手进行合并以来，沙隆达股票一直处于停盘状态，预计Adama将于8月完成合并的框架工作，沙隆达将于8月4日复盘。Adama表示，与沙隆达的反向并购将使其进入人民币和港币资本市场。去年，Adama首次公布与沙隆达的合并，此时正值全球农药企业的整合阶段，部分原因是大宗商品价格的下跌已经触及农民的收入底限。除了中国化工集团和先正达已经达成的收购协议，德国拜耳上周上调了收购美国孟山都的邀约价格至650亿美元。Discount称，将Adama剩余的40%股权出售给中国化工集团可解除中国化工集团在收购先正达过程中，可能面临的违反非竞争协议的诉讼风险。
