展开全部直观一点，证券公司是投资业务的中间人，就像卖房的中介一样。你有点闲钱，想投资几家公司，你一般没法直接去跟公司谈说我想投资你，你的资金量还覆盖不了交易成本；比如你看好淘宝，你不能直接去和马云爸爸谈我想要投资你。那么就有了证券公司的存在；公司发展需要钱了，从银行又不方便搞钱，好，去找证券公司，不管是发行股票（把我的公司分给你一份），还是发行债券（打欠条），反正想办法把钱搞来；发出这些东西就给散户或者基金经理们买走，钱就来了。在这个过程中，证券公司就是一个中介，存在的意义一方面是简化了投资人和公司之间的沟通成本与交易成本，一方面是对公司提供的各种信息进行调查，起到一个担保的作用，消除部分信息不对称，以免伤害到投资人的利益。那么还有两种融资方式是不需要证券公司的，一种是从银行直接贷款，银行起到的也是一个中间人的作用，其实是用存款人的钱去投资，银行把存款整合以后进行投资，可以看做是所有在银行存款的人的代理人。另一种就是PE/VC，我有一小部分投资人，非常有钱，每个人可以拿出几百上千万，我们几个人就能解决你的融资需求了，那么你就不需要去公开市场上向成千上万的散户开放了，就卖给我们几个就行了。因为这些少数合格投资人的议价能力、信息获取能力更高，信息不对称水平更低，所以在这方面监管就没有公开上市要高。大概投资行业的参与者就是这些了
